Parts of this Agreement

This Agreement consists of the following terms and conditions (hereinafter the “General Terms”) and terms and conditions, if any, specific to use of individual Services (hereinafter the “Service Specific Terms”). The General Terms and Service Specific Terms are collectively referred to as the “Terms”. In the event of a conflict between the General Terms and Service Specific Terms, the Service Specific Terms shall prevail.

Acceptance of the Terms

Description of Service

We provide an online service for management of your Genesys Cloud Organization emails. This service is accessible under Google Firebase platform. Customer or email data are only storage on Genesys Cloud. Email Center will not storage any type of data on ours platforms or third party platforms. You may use the Services for your personal and business use or for internal business purpose in the organization that you represent. You may connect to the Services using any Internet browser supported by the Services. You are responsible for obtaining access to the Internet and the equipment necessary to use the Services. You are responsible for the content of your emails and for the way in which they are managed.

Modification of Terms of Service

We may modify the Terms upon notice to you at any time through a service announcement or by sending email to your primary email address. If we make significant changes to the Terms that affect your rights, you will be provided with at least 30 days advance notice of the changes by email to your primary email address. You may terminate your use of the Services by providing QWI Tecnologias de la informacion notice by email within 30 days of being notified of the availability of the modified Terms if the Terms are modified in a manner that substantially affects your rights in connection with use of the Services. In the event of such termination, you will be entitled to prorated refund of the unused portion of any prepaid fees. Your continued use of the Service after the effective date of any change to the Terms will be deemed to be your agreement to the modified Terms.

User Sign up Obligations

Licensee acknowledges and agrees that the Genesys entity, or its licensed reseller, with whom Licensee placed the Order for the Application (as defined below) that is the subject matter of this Agreement is acting solely as a distributor for Licensor of the Application and that neither Genesys, nor its licensed resellers, has any obligations to Licensee other than to provide this Agreement and accept payment for the Application pursuant to an Order placed by Licensee. Genesys will tabulate usage of Email Center App by presences of the unique license(s) upon users logged into Genesys Cloud during the customer’s monthly billing period. Licensee will pay Genesys or its permitted reseller (as applicable) the annual subscription license fees in advance, as set forth in the Order in order to access and use the Application, whether through the Service or otherwise. Thereafter, payments must be made on the anniversary of each subscription term as set forth in the Order. All payment obligations are noncancelable and all amounts paid are nonrefundable. Licensee is responsible for paying for all licenses for each User, case or environment ordered for the entire term of the subscription as set forth in the Order, whether or not all such licenses are actively used. A Licensee-authorized administrator shall have the right to add licenses during the course of an annual subscription by contacting Licensor, Genesys or its permitted reseller, as applicable. Licenses added in the middle of any subscription year will be subject to the following: (i) added licenses will be coterminous with the preexisting subscription term of Licensee’s initial applicable Order; (ii) the subscription fees for the added licenses will be the per-license subscription fee currently in effect for the applicable subscription; and (iii) licenses added in the middle of a month will be prorated for that month. Licensee may not reduce the number of licenses during the then-current subscription term. Licensor reserves the right to modify its fees and charges and to introduce new charges for subscription renewal terms.

Organization Account and Administrator

You are the designated administrator of the Genesys Cloud platform and Email Center installation, configuration and Email Center permission assignment. In case of doubts you can consult us sending an email to: emailmanager@qwi-ti.com

License

Nonpayment and Suspension

Licensor reserves the right to suspend or terminate a subscription to the Application/Service (and Licensee’s access thereto) and/or terminate this Agreement if Licensee has failed to pay Genesys or its permitted reseller and payment is more than 30 past due, or if Licensee’s account is more than 30 days past due. Licensee will continue to be charged for licenses during any period of suspension. Licensor has the right to impose a reconnection fee after any period of suspension.

Assignment/Sublicense

Neither this Agreement nor any rights or obligations under this Agreement, in whole or in part, shall be sublicensed, assigned or otherwise transferred by Licensee and any attempt to do so will be null and void.
